Paulo Olavo Cunha and Ana Perestrelo de Oliveira participate in the book ‘Shareholders’ Agreements – Ethical and Legal Perspectives on Freedom of Contract in Company Law’, published by Mohr Siebeck.
Edited by Ana Perestrelo de Oliveira, Marta Boura and Catarina Coelho, the publication brings together contributions from several authors on contractual freedom and private autonomy in company law, analysing their limits and challenges in a context marked by organisational transformation and the growing internationalisation of markets.
Paulo Olavo Cunha’s contribution, entitled ‘Shareholders’ Agreements and Boards’ Independence: Can We Bring Theory and Practice Together?’, analyses the tension between the necessary independence of company boards and agreements entered into between shareholders, reflecting on their effects on corporate management and the validity of share transfers.
Taking a theoretical and comparative approach, the publication contributes to a clearer understanding of the relationship between contractual and corporate instruments, as well as to reflection on the role of freedom of contract in promoting efficiency, business ethics and a more responsible concept of autonomy in company law.
