Ana Perestrelo de Oliveira, Of Counsel, Domingos Freire de Andrade, Senior Associate, and Chen Chen, Associate, are part of the teaching staff of the II Intensive Course on Shareholders’ Agreements, organised by the Private Law Research Centre of the Faculty of Law of the University of Lisbon.
Also a member of the course’s scientific committee, Ana Perestrelo de Oliveira teaches the session 'Shareholders’ agreements relating to the organisation of the company, with particular focus on the limits of management-related clauses'. Domingos Freire de Andrade presents the topic 'Private autonomy in commercial company law: between sociality and parasociality', while Chen Chen leads the session 'Warranties and shareholders’ agreements'.
The course addresses the main aspects of shareholders’ agreements, with emphasis on general concepts, typologies, typical content — including the discussion of clauses inspired by international practice — as well as effectiveness and vicissitudes, with particular focus on the transfer and termination of such agreements.
