Ana Perestrelo de Oliveira is the author of the book 'Acordos Parassociais' ('Shareholder Agreements'), recently published by Almedina.

In this book, the VdA lawyer addresses the relationship between private agreements between shareholders and the applicable legal limits, positioning herself at the intersection between contract law and company law.

The book is divided into two parts: the first part addresses the general theory of shareholders' agreements, highlighting the terms in which shareholders are allowed to regulate their relations outside the bylaws, the effectiveness of these agreements, and the applicable termination mechanisms. The second part analyses typical clauses found in these agreements, including topics such as corporate governance, the exercise of voting rights and the transfer of shares.
