Soraia Ussene

Soraia Ussene joined VdA in 2015. She is a Senior Associate in the Banking & Finance practice, where she advises banks and other financial institutions on banking and regulatory issues and is actively involved in transactions related to Structured Finance and Syndicated Loans and Debt Capital Markets.

Soraia regularly works on the structuring and negotiation of securitisation transactions, advising issuers, originators, arrangers and other market participants in complex and innovative transactions, undertaking the role of drafting counsel, negotiating with the parties and their respective counsels, and liaising with the relevant authorities in connection with the approval and issuance of notes.

Additionally, Soraia provides ongoing corporate and regulatory advice to credit securitisation vehicles (in the form of both companies and funds) on the performance of their roles as issuers or fund managers in the context of securitisation transactions.

She also has experience in real estate finance transactions, including those financed by securities issues, advising both national and international clients from structuring to closing, and participating in the drafting and negotiation of the financing documentation and related security package.

Soraia is acknowledged by both clients and peers as one of the most active lawyers in leading national and international market transactions, including public offerings, private placements of equity, debt and hybrid securities, and covered bonds. Of special relevance is her role in retail bond issuances by issuers from the banking & financial sector as well as from other sectors such as civil construction and engineering, sports, aviation and energy.
Soraia also participates in M&A and Corporate Finance transactions, mainly focused on acquisition finance, corporate finance and the acquisition and sale of companies.
