José Pedro Fazenda Martins

José Pedro Fazenda Martins joined VdA in 2011. He is a Partner in the Banking & Finance practice, where he works on some of the most complex transactions in the capital markets sector.

He coordinated VdA’s Capital Markets team responsible for advising on the takeover bid launched by Tagus Holdings, S.à.R.L. (joint venture between José de Mello and Arcus) over BRISA and also led the team advising Parpública in the two phases of the privatisation of CTT - Correios de Portugal, S.A. and in the accelerated placement of EDP shares held by JM Energia.

He was involved in the privatisation process of the Portuguese airline TAP and, later, in the reorganisation of the State’s participation in the company.

He further advised on other high profile transactions, such as the acquisition by China Communications Construction Company of a stake in Mota-Engil, the acquisition of SIVA by Porsche, and Pluris’ acquisition of a stake in Media Capital, as well as the sale of Radio Comercial by Media Capital to Baur.

A former Assistant Professor at the Faculty of Law of the University of Lisbon, José Pedro Fazenda Martins is regularly invited to lecture several postgraduate courses organised by the University of Lisbon, Católica University and NOVA University, and to be a speaker at conferences or events related to Company and Securities Law.

Before joining VdA, José Pedro worked at the Portuguese Securities Market Commission (CMVM) as Head of its Markets, Issuers and Financial Information Supervisory Department and was a member of the Steering Committee of the Euronext College of Regulators, having also acted as its Chairman.

In this capacity, he participated in the most important capital market transactions and listings of financial instruments during the first decade of the twenty-first century, including takeover bids, rights issues, securitisations and mergers between international stock exchanges.

He was also a member of the CESR / ESMA European Network on Takeover Bids and a European Commission / TAEIX Expert on Union Enlargement.

 Legislation and Regulation

  • Drafted a legislative framework proposal aimed at stimulating the secondary public debt market, commissioned by the Central Bank of Cape Verde, and all related secondary legislation, United Nations, 2017/2018;
  • Drafted proposals of Decree-Laws, Council of Ministers Resolutions and Terms of Reference for the privatisation of CTT (phase 1 and 2) and TAP, 2013-2015;
  • Carried out a major overhaul of the Portuguese debt market and drafted proposals for legislation: task force composed of the Issuers Association (AEM), PwC and the Portuguese Rating Company (CPR), 2013-2014. This document led to amendments to the Portuguese Companies Code and the Securities Market Code, as well as new legislation on commercial paper;
  • Long positions in shares, 2010;
  • Recommendations on the Corporate Governance of Listed Companies, 2010;
  • Regulation on complex financial products, 2009;
  • The temporary regime for short selling, 2008;
  • Participated in the regulatory and legislative changes necessary to migrate the Portuguese Stock Exchange to the Euronext market, 2001-2003;
