The firm provides legal assistance in respect of all types of credit transactions, both domestically and internationally, acting for banks, banking syndicates and big corporations, and has had a significant role in the context of new and innovative transactions.

The firm has vast knowledge and experience in capital markets, focusing on the issuance and national or international placement of both debt and equity securitites – including the most relevant securitisation transactions executed to date in Portugal – launching of EMTN programmes, privatisations, IPOs, acquisitions, listings in both national and international markets, de-listings, private and public offers, acquisition public offers and in some of the most relevant re-structuring transactions of listed companies that have taken place in Portugal.

VdA has been particularly active advising on the establishment, marketing and operation of all kinds of collective investment schemes, namely mutual and real estate funds, venture capital funds, in the implementation of private equity structures and in the structuring of transactions involving the sale of portfolios of non-performing loans. Equally, the firm has equally developed intensive work in the area of the financing of structures, including commercial loans, financing for the acquisition of aeroplanes, retail banking, financial services and counselling in securities law related matters.

The firm has developed a high degree of expertise in regulatory matters, rendering advice on a regular basis to banks, fund managers of both mutual and venture capital funds, brokers and other investment companies.
